That the Amended and Restated Shareholder Declaration of The Corporation of the City of Guelph, as the sole shareholder of Guelph Municipal Holdings Inc., included as Attachment-1, be approved by resolution of the shareholder. That the Amended and Restated By-law Number 1 of Guelph Municipal Holdings Inc., attached as Attachment-2, be confirmed by resolution of the shareholder. That Gene Matthews be elected as a director of Guelph Municipal Holdings Inc. to hold office for a term of up to three (3) years, subject to earlier resignation, removal, or election of his successor.

31:09I thank you through your worship to staff on this. Regarding number four, I full confidence
31:15in Mr. Matthews, but he is in acting. So should the position be filled by someone else? Would we
31:22then change that? Or if he goes back to being the general manager of Parks, would that he still be
31:29the elected person as a general manager? Through the through the marriage council, Gower. So the
31:35intent would be that once the position for the DCO of Corporate Services is permanently filled,
31:42that they would in fact become the position that we are recommending for Gene Matthews at this time.
31:49He's being recommended because of his in his acting capacity as the DCO of Corporate Services.
